California — Franchise Investment Bond

Prepare a California franchisor's financial assurance when DFPI accepts a surety bond instead of impounding initial franchise fees. The state's July 2025 registration guidelines describe this as one financial assurance route, not a bond required for every franchise sale.

What this bond does

The offering concerns franchise investment security for a franchisor in California. It is distinct from the operating permits or consumer bonds a franchisee may need after opening a business.

Who needs it
A franchisor responding to California Department of Financial Protection and Innovation registration review and an actual financial assurance requirement.
Who it protects
The accepted franchise bond addresses the initial obligations and financial assurance condition specified by DFPI. It does not insure the franchisee's business profitability or guarantee a return on investment.

Your bond option

This is the option on record for this bond.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Start with DFPI's financial assurance review

The registration guidelines say a franchisor must demonstrate its present financial ability to meet stated obligations to franchisees without relying on prospective franchisee funds.

When financial assurance is required, the guidelines discuss impound of initial fees and alternatives. A bond should be arranged against the department's actual registration comments and accepted condition, not simply because the business uses a franchise model.

Distinguish a bond from impound and fee deferral

DFPI describes fee deferral until specified initial obligations are completed and the franchisee is open for business, and a surety bond route under title 10, section 310.113.5.

Ask the department which arrangement it accepts for the filing and which form, sum and ongoing evidence are required. The initial franchise fee is not automatically the bond amount or the provider’s premium. Ask for the required form and sum.

Purchase for the franchisor named in the filing

Purchase Now opens Propeller's California franchise investment application in a new tab. Match the legal franchisor, California registration file, DFPI comments, accepted undertaking, required sum and dates before finalizing.

Review the issued document and submit it through the registration process. Provider issuance is not registration effectiveness, permission to offer franchises or confirmation that disclosure and financial reporting requirements have been met.

Sources

Have these ready

  1. Collect DFPI registration comments and the required financial assurance direction.
  2. Identify the legal franchisor and filing record.
  3. Confirm the accepted alternative, bond sum and current form.
  4. Coordinate the executed security with disclosure and registration documents.

Questions about this bond

Must every California franchisor buy this bond?

The guidelines present a bond as a financial assurance alternative to impound, not a universal purchase requirement. Use the direction for the actual filing.

Is this for an individual franchise location's operating license?

This bond concerns franchisor investment/registration security. A franchisee's operating bonds, such as a health club bond, have different obligations.

Does a bond guarantee the franchise will be profitable?

No. Financial assurance under the accepted condition should not be described as investment-return or business-success insurance.

Does provider approval make the franchise registration effective?

No. DFPI determines the filing's status. The bond is supporting security, not a registration decision.
