Illinois — Franchise Investment Bond

Use the Illinois Attorney General's actual franchisor bond request to prepare the published Surety Bond, Appendix E. Its conditions address Franchise Disclosure Act compliance, covered damages and promised franchise-agreement items. The model runs for four full years after execution, not a period copied from another State.

What this bond does

Secure the franchisor's compliance with the Illinois Franchise Disclosure Act and its rules and orders, covered damages from violations or misrepresentation, and completion of the obligations described in the accepted franchise agreements.

Who needs it
The legal franchisor applying to register an Illinois franchise offering and responding to the Attorney General's bond requirement. This is not the franchisee's operating-license bond or an investment adviser's undertaking.
Who it protects
The Administrator, Illinois Attorney General, is the named obligee. The model contemplates assignment to the respective purchasers upon sale and covers specified Act violations, misleading statements or omissions, and failures to complete promised agreement obligations. Follow the accepted undertaking and any actual assignment for enforcement.

Your bond option

This is the option on record for this bond.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Details for Appendix E and the four-year period

The published surety model identifies the franchisor, an Illinois-authorized surety, the Administrator and a blank required sum. It also asks how many Illinois franchises the principal proposes to offer within one year of the proposed registration's effective date. That offering statement is not a published fee-times-sales formula or a fixed minimum bond amount.

The conditions include Act compliance, covered damages arising from violations or misrepresentation, and full completion of the agreements' promised real estate, improvements, equipment, inventory, training and other offering items. Its intended assignment to purchasers should not be reduced to a State-penalty-only explanation or described as unrestricted insurance against every investment loss.

The model states that the bond runs continuously for four full years after execution. Keep that execution date separate from the registration date and the one-year proposed-offering statement. Do not replace the four-year wording with another State's notice-cancellation provision; coordinate the accepted undertaking and any later direction with the Attorney General and surety.

The current State directory lists both a registration Form E, Guaranty of Performance, and a Surety Bond, Appendix E, under Surety Bond Forms. Use the actual surety-bond link and requested undertaking. The same letter does not make a parent guarantee interchangeable with a surety bond.

Questions about this bond

Which Form E is the surety bond?

The Attorney General's current directory places Surety Bond, Appendix E, under Surety Bond Forms. The registration-forms list also has a Form E called Guaranty of Performance. Follow the surety-bond link and the actual request; the two documents serve different arrangements.

Does the proposed one-year offering period make this a one-year bond?

No. The model asks how many franchises will be offered within one year after the proposed registration becomes effective, but separately states that the bond runs continuously for four full years after execution. Use the correct date for each provision.
