What this bond does

Secure covered losses from the seller's violation of the business-opportunity article, breach of the sale contract or obligations arising from that contract.

Who needs it
The legal seller or lessor making the covered startup-business offer. Match its actual income guarantee, refund or repurchase terms and the statutory definition and exclusions before treating the bond requirement as applicable.
Who it protects
The bond or trust account is in favor of North Carolina. A person damaged by a covered statutory violation or contract breach may bring an action against it. The statute limits the surety's or trustee's aggregate liability to actual damages and the security amount.

Your bond option

This is the option on record for this bond.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Details for aggregate protection and disclosure

G.S. 66-96 ties the security requirement specifically to the representations in G.S. 66-94(3), including the stated income guarantee or refund/repurchase terms. Other activities can meet the broader business-opportunity definition without automatically triggering this particular security requirement. Review the actual agreement and statutory conditions.

The law permits a surety bond from an authorized company or a trust account with a licensed and insured bank or savings institution located in North Carolina. Either must be at least $50,000. The aggregate limit applies across actual-damage claims; it is not a separate $50,000 payment for every buyer or a guarantee of the investment's earnings.

Provide the written disclosure at least 48 hours before the earlier of the buyer signing the contract or the seller receiving consideration. The required disclosure identifies the bond or trust and directs the buyer to verify its current status with the surety or financial institution. Its cover statement expressly says the State has not reviewed or endorsed the opportunity or verified the information.

Sources

Have these ready

  1. Collect the seller's actual offer, agreement and income/refund/repurchase representations.
  2. Confirm the G.S. 66-94(3) trigger and required security of at least $50,000.
  3. Match the legal seller, State-favored undertaking and covered statutory/contract obligations.
  4. Confirm the accepted form, actual coverage dates and execution instructions.
  5. Prepare current security information for disclosure at least 48 hours before the earlier signing or payment.

Questions about this bond

Is the minimum available separately to each purchaser?

The statute imposes an aggregate limit for actual damages, capped at the bond or trust-account amount. A $50,000 security is not $50,000 of separate protection for every purchaser.

Does the required disclosure mean North Carolina approved the offer?

The required cover statement disclaims State review, approval and endorsement and says the State has not verified the information. Where security is required, the buyer should check its current status directly with the surety or financial institution before signing.

Match the legal seller, actual representations, State-favored security, amount, accepted form and dates before finalizing. Execute and deliver the required bond and separately provide the timely buyer disclosure; purchase does not approve the opportunity or establish that a particular sales pitch is lawful.
