Kentucky — Investment Advisor Bond

Kentucky permits an adviser to substitute a surety bond for an allowed portion of required net worth. The sum depends on custody, discretion and assets under management. Have the Department of Financial Institutions confirm the calculation rather than applying a flat bond amount to every firm.

What this bond does

The posted adviser form responds to a court judgment finding a Kentucky Securities Act violation that the principal has not fully satisfied. It is a defined judgment obligation, not a guarantee that an investment will retain its value.

Who needs it
An advisory firm using Kentucky's financial-security substitution route. Identify custody, discretion, advance-fee arrangements, assets under management and principal place of business before calculating the requested sum.
Who it protects
The actual form binds principal and surety to the Commissioner of the Department of Financial Institutions for the benefit of any person meeting its judgment condition. The stated maximum limits the surety's liability.

Your bond option

This is the option on record for this bond.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Details of Kentucky's net-worth substitution

Under 808 KAR 10:200, custody generally requires $35,000 net worth when assets under management are $25 million or less, or 0.15% of total assets under management when they exceed $25 million. A bond may replace all but $10,000 of that requirement. For discretion without custody, the requirement is $10,000 when assets are $25 million or less, or 0.1% of total assets under management when they exceed $25 million; a bond may replace any portion of the applicable requirement.

The rule also addresses advance-fee arrangements, qualified custody exceptions and home-state capital treatment. It requires positive net worth at all times and monthly computations supported by assets-under-management records. Bond substitution does not eliminate solvency or financial reporting duties. Use the firm's actual arrangements and current balance sheet for the Department's accepted calculation.

The posted form lasts one year from execution unless terminated or otherwise provided by law. Separately, an action against the surety must be brought within one year of the underlying judgment or order. The bond duration does not replace that claim deadline. The form allows thirty days' written termination notice to the principal and Commissioner while preserving obligations arising before the Commissioner's receipt of notice. Arrange the signatures and sworn acknowledgment.

Questions about this bond

Can a bond replace all required net worth?

For the custody route, the rule leaves at least $10,000 of required net worth in place. For discretion without custody it permits substitution for any part of the applicable requirement, but positive net worth must still be maintained. Confirm the applicable route and exceptions with the Department.

Does any client complaint trigger payment?

The posted form requires a qualifying court judgment finding a Kentucky Securities Act violation. Full satisfaction by the principal discharges that obligation. The form also imposes its separate one-year period for enforcing surety liability after the underlying judgment or order.
