What this bond does

The undertaking binds the registered principal and surety to the State of West Virginia. Its conditions cover Chapter 32 duties, securities-sale contracts and accounting for investor money and securities, together with any additional conditions imposed by the Commissioner.

Who needs it
A broker-dealer addressing a West Virginia financial-security requirement. Bring the firm's state and federal registration information, net-capital computation and the Securities Commission's directions.
Who it protects
The rule gives Securities Act claimants a right to sue on the State obligation. Current section 32-2-202 also sets the statutory claim framework and financial limitations. The bond's approval and coverage conditions matter separately from purchase and from the firm's registration.

Your bond option

This is the option on record for this bond.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Details for West Virginia's broker-dealer capital bond

The rule's capital benchmark is the greater of the applicable SEC net-capital requirement and $25,000, subject to applicable law and exemptions. Its specified bond is $10,000 when the capital requirement is not maintained; it is not calculated by rounding a deficiency. Ask the Commission to confirm the route for the firm's federal status. A state bond does not automatically waive federal capital requirements.

Use the Commission-prescribed or accepted form. The operative provision expressly identifies the State obligation and the Chapter 32, contract-performance and investor-accounting conditions. It also permits additional Commissioner conditions. The bond does not become effective for this purpose until approved; an appropriate cash or securities deposit likewise needs the required written approval.

Keep the approved undertaking with the financial computation and registration correspondence. Section 32-2-202 limits the bonding authority and directs claim timing to section 32-4-410(e). Confirm current filing and continuation directions rather than using an older printed claim deadline as the bond term.

Questions about this bond

Is the required bond always $25,000?

The rule specifies a $10,000 bond for its capital-failure route. $25,000 appears in the rule's capital benchmark and the statute's maximum bonding authority; neither makes every broker-dealer bond $25,000. Confirm the firm's applicable requirement.

Does buying the bond make it effective with the Commission?

The operative rule expressly requires Commissioner approval before the bond is effective for this purpose. Match the accepted form and conditions and obtain that approval rather than treating payment as completion of the regulatory filing.
