Massachusetts — Commercial Co-Venturers Bond

Advertising that your sale or event will benefit a charity? Massachusetts' current fundraiser guide lists a $25,000 Form 9 for commercial co-venturer registration. One annual bond covers the registrant's calendar-year filing, while each campaign has its own Form 10B, contract and financial report.

What this bond does

Supply the commercial co-venturer's accepted annual Form 9 security, separate from campaign registration, contracts and financial reporting.

Who needs it
The business or individual advertising, for profit or commercial consideration, that an event or public sale of goods or services benefits a charitable purpose. Select Commercial Co-venturer on Form 9 rather than assuming the professional-solicitor campaign papers are interchangeable.
Who it protects
The actual Form 9 protects the Attorney General's Division for the Commonwealth and charities with causes of action for covered losses, damages or penalties from solicitation malfeasance or misfeasance by the principal, members, officers or employees. It conditions the undertaking on compliance with Chapter 68, Sections 18–35, and has a $25,000 total limit, not a separate allowance for each campaign.

Your bond option

This is the option on record for this bond.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Understanding Licensing and Bonding

The Attorney General's guide requires commercial co-venturer registration before engaging in the business. Annual filing includes Form 10 and $25,000 Form 9. Multiple campaigns do not require a separate annual bond for each one; the campaign addendum for a co-venture is Form 10B, not the professional solicitor's Form 10A.

Submit the campaign contract and Form 10B with registration or within ten days of signing, before co-venturing begins. The guide provides an exception from Form 10B/contract/Form 11B for a campaign benefiting a charity not required to register. Confirm the charity's actual status instead of treating registration as an endorsement.

Operational Compliance and Reporting

Commercial co-venturers file a separate Form 11B for each Form 10B campaign through the Fundraiser Portal. The guide makes the report due February 28 after the calendar year reported. Keep actual financial results separate from the projected gross receipts, expected charitable share and remittance explanation on Form 10B.

If campaign information changes, file supplemental Forms 10B. The addendum requires the co-venturer's certification and acknowledgment by two different authorized charity officers. Prepare those signatures and the written agreement rather than assuming one officer's signature completes the filing.

Maintaining Partnership Accountability

Form 9 identifies the registrant as a commercial co-venturer or professional solicitor and ends the bond year on December 31. Claims are settled in the order made, and multiple recoveries may proceed until the aggregate is exhausted. The annual filing is not an unlimited promise to every charity or donor.

The surety's cancellation provision requires 30 days' certified-mail notice to the principal and Attorney General. Earlier causes of action for covered malfeasance or misfeasance remain subject to the undertaking. Match the principal and attorney-in-fact execution, actual start date and bond year.

Keep the charitable purpose and remittance disclosures accurate. Form 10B asks what prospective contributors will be told about the charity's share; the guide identifies false percentage claims and use of a charity's name without written authorization as deceptive practices.

Have these ready

  1. Compile full legal business details, including your principal place of business and contact information.
  2. Draft a written contract or agreement with the charitable organization specifying the nature of the solicitation.
  3. Identify all employees, agents, and sub-contractors responsible for conducting the solicitation campaign.
  4. Gather financial estimates regarding projected gross receipts and the percentage of proceeds to be directed to the charity.
  5. Prepare the $25,000 Form 9, actual bond year and principal/attorney-in-fact execution.
  6. Obtain the required charity signatures and distinguish annual registration from per-campaign filings.

Questions about this bond

Who must file a Commercial Co-venturer bond in Massachusetts?

The Attorney General's current guide lists a $25,000 Form 9 for commercial co-venturer registration. Professional solicitors use the same bond form but a different campaign addendum. Match the actual registrant and category.

Are sub-contractors required to be bonded?

Form 10B states that subcontractors must be registered and bonded before solicitation. The current guide also requires separately hired fundraising subcontractors to register. Identify the actual fundraising role; do not assume the co-venturer's own Form 9 registers every separate contractor.

How do annual registration and campaign papers differ?

Annual registration uses Form 10 and Form 9. A commercial co-venture's campaign uses its own Form 10B and contract, with the required charity acknowledgment. Form 10B requires two different authorized charity officers' signatures, not just one.

What is the role of the Annual Financial Report?

Form 11B reports the calendar-year financial activity for each Form 10B campaign and is due February 28 of the following year under the current guide. It is separate from the projected receipts and percentage disclosures on Form 10B.
