What this bond does

The agency and surety are jointly and severally bound to the Department of Commerce. Their obligation secures the agency's compliance with the collection statutes and its other legal obligations as a collection agency. The Commissioner and an injured person have a right of action on the bond for the injured party's loss.

Who needs it
Owners and compliance officers of collection agencies organized as corporations or LLCs that need to meet Minnesota Department of Commerce licensing requirements. Use the bond form for your actual legal entity.
Who it protects
The bond benefits Minnesota and people damaged by the agency's failure to comply with Minnesota Statutes 332.31 to 332.45 or other legal obligations arising from its collection business. The surety's aggregate liability cannot exceed the bond's penalty, regardless of the number of claims or years in force. Before paying a claim, the surety must notify the Commissioner of Commerce through the address specified on the form.

Your bond option

This is the option on record for this bond.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Calculating the Required Bond Amount

Under Minnesota Statute 332.34, agencies must maintain a bond with a base amount of $50,000. The final penalty amount is determined by the volume of collections received from Minnesota debtors during the previous calendar year.

The calculation involves adding $5,000 for every $100,000 collected, after subtracting earned commissions. The total bond amount is capped at $100,000 and must be rounded to the nearest multiple of $5,000.

Bond Maintenance and Cancellation

Once issued, the bond must be filed with the Minnesota Department of Commerce. The state form is a continuing obligation. Its surety-cancellation provision takes effect 30 days after the surety sends written notice to the Department.

Cancellation does not retroactively release the surety from liability for actions occurring prior to the effective date of the cancellation. Principals must ensure their bond remains active to avoid non-compliance with state licensing regulations.

Legal Responsibilities

The principal is held jointly and severally liable with the surety. The bond requires accurate completion of the official state form, including the legal name of the corporation or LLC, the business office address, and appropriate notarized signatures from both the surety and the principal.

A Power of Attorney must be attached to the bond document at the time of filing. Failure to provide complete documentation or maintain the required financial security can lead to administrative action by the state.
