Minnesota — Collection Agency (Partnership) Bond
Minnesota's partnership collection agency form names the agency as principal and calls for an authorized general partner's signature and acknowledgment. Match the partnership's legal organization, covered office and required amount before applying. An employee's collector registration is a separate filing.

What this bond does
The bond secures the agency's compliance with Minnesota sections 332.31–332.45 and other legal obligations arising from its collection agency business. The partnership form does not limit the condition to handing over client proceeds.
- Who needs it
- Collection agencies organized as partnerships applying for or maintaining a Minnesota agency license. Use the agency's actual business organization and office; do not select the partnership acknowledgment merely because an employee or owner informally calls someone a partner.
- Who it protects
- The Department of Commerce is the obligee, for Minnesota and all persons damaged by the agency's failure to meet the stated collection agency legal obligations. Principal and surety are jointly and severally bound. The Commissioner and an injured person have the model's right of action, subject to its terms and aggregate limit.

The bond amount describes the limit of the bond obligation, not the price. A listed amount does not establish what the requesting party requires. The premium is what you pay and must be confirmed for the actual option. An E&O limit, where listed, is separate errors and omissions insurance.

Have these ready
- Match the agency name, partnership organization and covered office to the license application.
- Identify the authorized general partner who will sign and acknowledge the principal's execution.
- Compile the preceding calendar year's Minnesota debtor receipts and commissions earned on those receipts.
- Arrange the surety acknowledgment and attorney-in-fact power of attorney.
- Follow Commerce's Sircon upload instructions and keep individual collector registrations separate.
Questions about this bond
Can any employee sign the partnership acknowledgment?
The State model's principal acknowledgment calls for a general partner authorized to execute the bond for the partnership. Confirm that authority rather than substituting an employee's job title.
Does this register each individual collector?
No. It is the partnership agency's bond. Commerce's employee collector registrations are submitted through the agency and remain separate from the agency license and bond.
Does each year create a fresh full bond limit for claims?
The State model says the bond is one continuing obligation and the aggregate surety liability does not exceed its penalty regardless of years in force or number of claims.
